Blue Moon Metals has acquired 33 tungsten and antimony projects in the western US, situated near the company's Springer complex.

The transaction is expected to close in October 2026 and remains subject to approval by the TSX Venture Exchange.

Under the terms, the projects are acquired on a full ownership basis from a private seller in an arms-length transaction and comprise BLM and USFS lands. The portfolio is expected to incur annual holding costs of about $162,000.

The consideration includes 2.8 million Blue Moon Metals common shares, priced at $5.55 per share for a total of around $15.5m, as well as a $5m cash payment.

The cash consideration is split equally between closing and the first anniversary of the closing date. In addition, a 1% net smelter royalty (NSR) will apply to each project.

Additional payments are linked to the development of inferred resources within 15 years of closing.

These development payments depend on tungsten grade, with a cap of $8.5m per project.

Monetisation incentives are also included, giving the seller 10% of the consideration if Blue Moon Metals sells any project, plus further resource-linked milestone payments.

Blue Moon US Special Projects head Jason Dunning said: "This acquisition marks a meaningful step in Blue Moon's strategy to build a leading US-focused critical metals platform.

"The portfolio represents a compelling collection of tungsten and antimony projects in the US at a time when domestic sources are increasingly important."

Blue Moon has identified four projects as key areas for potential direct shipping of high-grade tungsten ore to its Springer facility.

These priority assets are located in Colorado (Oregon Mine), Idaho (Wildhorse Canyon), Arizona (Williams), and Nevada (Hub Mines).

The company plans to build a team to manage the new assets and aims to bring at least one project to the direct shipping stage within three years.

This acquisition also expands Blue Moon Metals' exposure to antimony, with plans to either sell high-grade ore or potentially develop a small-scale antimony smelter at the Springer site.
